End User License Agreement

1. Agreement to Terms
This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Locavana ("Company," "we," "us," or "our") for the use of Auxilia Finance Tools (the "Software" or "Service"). By accessing or using the Software, you agree to be bound by the terms of this Agreement.
If you do not agree to these terms, you must not access or use the Software.
2. License Grant
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes only.
You may:
- Access the Software through your authorized user account
- Use the Software to manage client information and financial data
- Connect third-party services (such as QuickBooks Online) with proper authorization
- Generate reports and access data stored within the Software
You may not:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, decompile, or disassemble the Software
- Rent, lease, loan, sell, or distribute the Software
- Use the Software for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to any portion of the Software
- Remove, alter, or obscure any proprietary notices on the Software
3. User Accounts and Security
To use the Software, you must create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Ensuring that your account information is accurate and up to date
4. Data and Privacy
Our collection and use of personal information in connection with your use of the Software is described in our Privacy Policy.
You retain all rights to the data you input into the Software ("User Data"). By using the Software, you grant us a limited license to use, store, and process User Data solely for the purpose of providing the Software services to you.
5. Third-Party Integrations
The Software may integrate with third-party services such as QuickBooks Online, Postmark, and others. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the performance, content, or practices of third-party services.
When you authorize connections to third-party services, you grant us permission to access and use data from those services on your behalf to provide our Software functionality.
6. Intellectual Property
The Software, including all content, features, functionality, code, and design, is owned by Locavana and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
All trademarks, service marks, trade names, and logos displayed on the Software are the property of their respective owners.
7. Acceptable Use Policy
You agree not to use the Software to:
- Violate any applicable local, state, national, or international law
- Infringe upon the intellectual property rights of others
- Transmit any harmful code, viruses, or malicious software
- Engage in any activity that interferes with or disrupts the Software
- Attempt to access data not intended for you
- Use automated systems to access the Software without authorization
- Harass, abuse, or harm other users
8. Service Availability and Modifications
We strive to provide reliable access to the Software, but we do not guarantee that the Software will be available at all times or will be error-free. We reserve the right to:
- Modify, suspend, or discontinue any aspect of the Software at any time
- Perform maintenance and updates
- Change features, functionality, or pricing with reasonable notice
- Limit or restrict access to certain features
9. Data Backup and Security
While we implement reasonable security measures to protect your data, you acknowledge that:
- No system is completely secure
- You are responsible for maintaining your own backup copies of critical data
- We are not liable for any data loss or corruption
- You should not store highly sensitive data (such as passwords or credit card numbers) in the system
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LOCAVANA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability to you for all claims arising out of or related to this Agreement or your use of the Software shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the liability.
11. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Software will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
12. Indemnification
You agree to indemnify, defend, and hold harmless Locavana and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your access to or use of the Software
- Your violation of this Agreement
- Your violation of any rights of another party
- Your User Data
13. Termination
We may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including if you breach this Agreement.
Upon termination, your right to use the Software will immediately cease. You may terminate your account at any time by contacting us. Upon termination, we will make reasonable efforts to provide you access to your User Data for a limited period, after which the data may be deleted.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [Your State], without regard to its conflict of law provisions.
Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to prevent infringement of intellectual property rights.
15. Changes to This Agreement
We reserve the right to modify this Agreement at any time. We will notify you of any material changes by posting the new Agreement on this page and updating the "Last Updated" date. Your continued use of the Software after such modifications constitutes your acceptance of the updated Agreement.
16. Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Agreement will otherwise remain in full force and effect.
17. Entire Agreement
This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Locavana regarding the Software and supersedes all prior agreements and understandings.
